By accessing or using the Novispace services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services. Novispace reserves the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Who We Are

Novispace is a brand name used by Noviscent Inc. for the operation of automation services. Noviscent Inc. is the legal entity responsible for providing the Services offered under the Novispace brand. All legal obligations, liabilities, and rights related to the Services are held by Noviscent Inc.

3. Description of Services

Novispace provides automation services that process your data to create and execute automated workflows according to your specifications. Our Services may include:

Workflow automation and configuration
Data processing and integration
Task scheduling and execution
System monitoring and optimization
Related consulting and support services

4. Use of Your Data for Automation

By using our Services, you acknowledge and agree that:

We will process your data to create and execute automation solutions as you direct
You are responsible for ensuring that you have the right to provide the data you submit to us
We will use your data solely for the purpose of delivering the automation services you request
You retain ownership of your data; we do not claim ownership of your information
Automation results are based on the data and instructions you provide

5. User Responsibilities

As a user of our Services, you agree to:

Provide accurate, complete, and current information
Use the Services only for lawful purposes and in accordance with these Terms
Not attempt to circumvent security measures or exploit vulnerabilities
Not use the Services to violate any applicable laws or regulations
Not interfere with other users' use of the Services

6. Account Registration and Security

Novispace reserves the right to suspend or terminate accounts that violate these Terms.

7. Intellectual Property

7.1 Our Intellectual Property

Novispace and its licensors own all intellectual property rights in the Services, including but not limited to software, designs, documentation, and trademarks. The Novispace brand and name are used by Noviscent under license. You may not copy, modify, or distribute our intellectual property without prior written consent.

7.2 Your Content

You retain ownership of any data, content, or information you submit to our Services ("Your Content"). By submitting Your Content, you grant us a license to use, process, and store it solely to provide the Services you have requested. We do not claim ownership of Your Content.

8. Service Availability and Modifications

Novispace strives to maintain high service availability but does not guarantee uninterrupted access. We reserve the right to:

Modify, suspend, or discontinue any aspect of the Services at any time
Impose limits on certain features or services
Update or change the Services with or without notice

We will not be liable for any modification, suspension, or discontinuation of the Services.

9. Payment Terms

For paid Services, you agree to:

Pay all fees in accordance with our pricing and payment policies
Provide accurate billing information
Pay all applicable taxes

Noviscent reserves the right to change pricing at any time with prior notice. All fees are non-refundable unless otherwise specified.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOVISPACE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
ACCURACY OR RELIABILITY OF AUTOMATION RESULTS
UNINTERRUPTED OR ERROR-FREE OPERATION
SECURITY OF DATA TRANSMISSION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVISPACE AND NOVISCENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF DATA, REVENUE, OR PROFITS
BUSINESS INTERRUPTION
LOSS OF OR DAMAGE TO DATA
ACCURACY OR RELIABILITY OF AUTOMATION OUTPUT

Our total liability shall not exceed the amount you have paid for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above exclusions may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Novispace, Noviscent, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Content you submit to the Services

13. Data Accuracy and Automation Results

You acknowledge that automation results depend on the accuracy and completeness of the data and instructions you provide. Novispace does not guarantee the accuracy, reliability, or suitability of automation outputs. You are responsible for reviewing and validating all automation results before use in production or critical applications.

14. Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations in your use of the Services, including but not limited to data protection, privacy, and export control laws. You are responsible for ensuring your use of the Services complies with legal requirements in your jurisdiction.

15. Termination

Novispace reserves the right to terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, but not limited to, ownership provisions, warranty disclaimers, indemnification, dispute resolution, and limitations of liability.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration conducted in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Noviscent Inc. regarding the Services and supersede all prior agreements and understandings.

19. Waiver

Novispace's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Noviscent Inc.
